Acceptance of terms

These Terms of Use (the “Terms”) constitute a binding and enforceable legal contract between Striderk Limited, its affiliated companies (together, the “Administrator”, “we”, “us”) and you. Please read these Terms carefully. Your access and use of the salesmindr.ng website and mobile applications, as well as any service, content, and data available via them (together, the “Service” or the “Platform”) are governed by these Terms. If you do not agree with any part of these Terms, or if you are not eligible or authorized to be bound by the Terms, then do not access or use the Service. Please also review our Privacy Policy.

The terms of the Privacy Policy and other supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason with or without prior notice.

Disclaimer of Warranties and Limitation of Liability

All services provided by the Administrator are offered “as is,” “as available,” and “with all faults.” The Administrator makes no warranties, express or implied, including but not limited to warranties of condition, quality, durability, performance, accuracy, reliability, merchantability, or fitness for any particular purpose. All such warranties are hereby disclaimed and excluded.

The Administrator does not control and cannot guarantee:

  • The existence, quality, safety, legality, or authenticity of goods or services listed by users;
  • The accuracy or reliability of any information provided in user ads;
  • The ability of sellers to deliver products or perform services;
  • The ability of buyers to make payments; or
  • That any transaction will be completed by either party.

Additionally, the Administrator makes no representation or guarantee that the manufacturing, import, export, sale, advertisement, or use of any products or services displayed on the platform complies with any third-party rights or applicable laws. Accordingly, the Administrator disclaims any liability arising from user-generated content or materials shared on the platform.

You are strongly advised to:

  • Inspect goods in person before making any payment;
  • Request documentation from sellers to verify compliance with applicable laws, regulations, and standards;
  • Exercise caution and conduct due diligence before engaging with individuals or organizations, especially for transactions or job-related meetings.

For your safety, always arrange to meet in public, well-lit areas during daylight hours. You are solely responsible for ensuring your own security and for assessing any risks involved. The Administrator assumes no responsibility for your interactions with any other users, individuals, or organizations.

Account Registration and Responsibility

To access certain features of the Service, you may be required to register for an account on the Platform (the “Account”) and provide accurate and complete information as prompted during the registration process.

You may create an Account either as an individual or as an authorized representative of a company. Only one Account is allowed per user. If multiple users access the same Account from a single device, we may request proof of identity to verify authenticity and prevent duplicate or fraudulent accounts.

You are solely responsible for maintaining the confidentiality of your Account login credentials and for all activity that occurs under your Account. Any unauthorized access or misuse of your Account is your responsibility, and you agree to notify us immediately if you suspect any security breach or unauthorized use.

By registering, you confirm that you are of legal age in your jurisdiction or are accessing the Service under the supervision of a parent or legal guardian. Users who are minors (typically under the age of 18) must have parental or guardian permission to use the Service and must have them read and agree to these Terms.

We reserve the right to suspend or terminate your Account, or restrict your access to the Service, with or without prior notice, in any of the following situations:

  • You violate or breach these Terms;
  • We detect suspicious or unauthorized activity linked to your Account;
  • There is reasonable suspicion of fraudulent behavior, duplicate accounts, scam activity, or misuse of the Service.

This list is not exhaustive—we may take similar actions where necessary to preserve the integrity, security, and proper functioning of the Service, or to protect the rights and safety of other users and third parties

You acknowledge and agree that we are not liable for any loss or damage arising from your failure to maintain the security of your Account or to notify us of any suspected unauthorized activity.

Platform Disclaimer and User Responsibilities

The Platform is an online marketplace that enables users to create and publish advertisements, browse listings posted by others, and communicate with other users using the contact information provided in those listings.

The Administrator of the Platform does not act as an importer, manufacturer, distributor, seller, or service provider for any of the goods or services listed by users. The Administrator is also not a marketing agent or representative for any user. All sales, purchases, or service agreements are conducted directly between users. The Administrator merely facilitates communication and listing capabilities and is not a party to any transaction or agreement made between users.

Each user is solely responsible for complying with all applicable laws, including but not limited to, collecting and remitting any required taxes resulting from the sale of their goods or services on the Platform.

The Administrator reserves the right to remove or block access to any advertisement without prior notice under the following circumstances:

  • A legally binding order or judgment from a competent authority;
  • A valid complaint from an intellectual property rights holder;
  • A reasonable request from another user, organization, or individual claiming infringement of legal rights or interests;
  • Detection of content that violates these Terms, applicable laws, or regulations.

The Administrator may, at its discretion, remove or block user content without being required to provide justification or prior notification.

The Administrator also retains the right to modify, suspend, or discontinue any part of the Service (whether free or paid) at any time and without notice. You understand that such actions may temporarily or permanently affect your access to the Service or its features. The Administrator will not be held liable for the removal of, or inability to access, any content or services.

Users are solely responsible for the content they post (“User Content”). As the Platform does not monitor or control User Content, the Administrator makes no guarantees about its accuracy, completeness, reliability, or quality. You understand and agree that your interactions with other users are entirely your responsibility. The Administrator is not liable for any disputes, damages, or losses arising from such interactions, and is under no obligation to mediate or resolve any user disputes.

The Platform may include links to third-party websites, services, or advertisements (“Third-Party Ads”). These external resources are provided for your convenience, and the Administrator does not endorse, monitor, or assume responsibility for their content, accuracy, or reliability. Any interactions or transactions you have with third-party providers, including banks or financial services, are strictly between you and the third party. You should review their terms, privacy policies, and perform any necessary due diligence before engaging with them.

By using the Platform, you release the Administrator, its officers, employees, agents, and affiliates from any and all claims, damages, losses, or liabilities—whether direct or indirect—arising from your interactions with other users or third parties, including but not limited to personal injury, death, property damage, or financial loss.

User Obligations Regarding Ad Content and Verification

Document Verification

Upon request by the Administrator, users are required to promptly provide documentation verifying their identity and the legitimacy of the goods or services advertised. This may include, but is not limited to, personal identification documents, proof of product ownership, licenses, permits, or any other materials deemed necessary by the Administrator to validate the authenticity of the advertisement.

Accuracy of Advertisement Information

Users posting advertisements for goods or services must ensure that all information provided is accurate, detailed, and up-to-date. This includes, but is not limited to:

  • A clear and truthful description of the item or service offered;
  • The exact price, with any conditional pricing or variable factors clearly stated in the listing;
  • Transparent and lawful terms of sale or service delivery that do not conflict with these Terms or applicable laws.

Contact Availability

Each ad must include a valid and reachable phone number. This number must be capable of receiving messages and calls, and the user must be reasonably available to respond. Failure to maintain a working and responsive phone number may result in the temporary suspension or removal of the related advertisement(s).

Compliance with Legal Requirements

All terms and conditions set by the user regarding the sale or provision of goods and services must comply with the laws and regulations applicable in the relevant jurisdiction. Users must not publish misleading, fraudulent, or illegal offers.

Third-Party Content Integration

If a user chooses to enhance their advertisement with video content using third-party services offered through the Platform:

  • YouTube: By uploading or embedding YouTube videos via YouTube API Services, the user agrees to comply with the YouTube Terms of Service.
  • Facebook: By embedding videos using Facebook's Embedded Video & Live Player, the user agrees to comply with both the Meta Platform Terms and the Facebook Terms of Service.

Users are solely responsible for ensuring that their use of such services does not violate the rights of any third party and that they are in full compliance with the terms and conditions of those platforms.

Paid Features and Billing

While access to the Platform is generally free, certain features and services may require payment. These may include, but are not limited to, limitations on the number of ads that can be posted in specific categories, promotional tools to increase ad visibility, or subscription-based enhancements.

Users are permitted to register and maintain multiple accounts only if each account utilizes a separate paid service. This ensures compliance with our usage policies and prevents abuse of the Platform’s free offerings.

All applicable fees, as well as the accepted payment methods, are transparently listed on the Platform. By purchasing any paid service, you agree to the pricing and payment terms in effect at the time of your transaction.

We reserve the right, at our sole discretion and without prior notice, to modify our fees or accepted payment methods at any time.

Except where prohibited by law, all payments made for paid services are non-refundable due to the nature of digital and online services. We encourage users to review all details of a service before making a purchase.

All payments and transactions on the Platform are subject to our Billing Policy, which forms an integral part of these Terms.

User Representations and Warranties

By accessing or using the Service, you acknowledge and agree to the following:

Legal Capacity & Compliance

  • You have the legal capacity to enter into binding agreements, and you agree to comply fully with these Terms and all applicable laws and regulations.

Authority as a Legal Representative

  • If you register on behalf of a legal entity, you affirm that you are duly authorized to represent that entity and to bind it to agreements with both the Administrator and other Platform users.

Age Requirement

  • You are at least 18 years old.

Account Information Accuracy

  • All information you provide during registration and throughout your use of the Service is true, accurate, complete, and current.
  • You will promptly update your account details to ensure continued accuracy.

Account Security

  • You are solely responsible for maintaining the confidentiality and security of your login credentials.
  • If you suspect your account has been compromised or accessed by an unauthorized third party, you will immediately update your credentials and notify the Administrator.

Identity and Location

  • You will not misrepresent your identity, age, or location in your account or advertisements.

Lawful Use

  • You will use the Platform only for lawful purposes and in accordance with all relevant rules, laws, and ethical standards.

Prohibited Items and Content

You will not post or promote any goods, services, or content that:

  • Are classified as Prohibited Items under Platform policies.
  • Infringe upon the rights, including intellectual property rights, of any third party.
  • Include false, misleading, or deceptive statements.
  • Contain personal information of minors or others without proper consent.
  • Feature explicit sexual content or pornography.
  • Promote illegal, reckless, or unsafe behavior, including the unlawful sale of weapons or ammunition.
  • Are defamatory, harassing, discriminatory, hateful, vulgar, or abusive.
  • Incite violence, racism, xenophobia, or other unlawful acts.
  • Involve prostitution or any services deemed morally or legally inappropriate.
  • Promote illegal services or services restricted by law.
  • Consist solely of promotional content without offering a tangible good or service.
  • Offer counterfeit or pirated goods or items obtained unlawfully.
  • Contain links or references to competing websites or platforms.

Platform Integrity

  • You will not interfere with the normal operation of the Platform, including through the use of malicious software or scripts.

Spam and Unsolicited Communications

  • You will not use the Platform to send spam, chain letters, pyramid schemes, or any form of unsolicited commercial communication.

Respect for User Content

  • You will not copy, distribute, or reuse content created by other users without their explicit permission.

Data Privacy

  • You will not collect or harvest personal data from other users (including email addresses or phone numbers) without their consent.

Malware Prohibition

  • You will not upload, distribute, or enable access to any viruses, worms, trojans, or other malicious software through the Platform.

Ownership and Authorization

  • You have legal ownership or the right to offer, sell, or distribute the goods or services listed in your advertisements.
  • You possess all necessary licenses, approvals, or authorizations as required by law to offer such goods or services.

Prohibited Goods and Services on SalesMindr (Nigeria)

The following is a non-exhaustive list of goods and services that are strictly prohibited from being advertised, sold, or promoted on the SalesMindr platform in Nigeria:

llegal or Regulated Substances

  • Narcotics, steroids, and any prescription medications that require authorization from a licensed medical professional.
  • Unregistered or unauthorized drugs, drug products, or medical devices.

Weapons and Restricted Equipment

  • Firearms, ammunition, explosives, and related accessories.
  • Military or police equipment that is restricted or prohibited by law.
  • Code-grabbing devices, lock-picking tools, or any security bypass tools.

Human-Related Materials

  • Human organs or body parts.

Stolen or Infringing Property

  • Stolen goods or items suspected to have been unlawfully acquired.
  • Counterfeit, pirated, or illegally reproduced products (including software, media, and branded items).

Prohibited Electronic Equipment

  • Electronic devices banned under Nigerian law.

Sexually Explicit or Inappropriate Content

  • Sexually-oriented services, pornography, or adult content.

Financial and Cryptocurrency-Related Services

  • Loan offers, money transfer services, cryptocurrency promotions (including Bitcoin), and gift card resales.

Fraudulent and Misleading Schemes

  • Multi-level marketing (MLM) programs, pyramid schemes, matrix programs.
  • Network marketing opportunities and so-called "Work from Home" jobs that lack legal standing or transparency.

Unregistered or Unregulated Products

  • Any food, beverages (including water and soft drinks), alcoholic beverages, cosmetics, chemicals, agrochemicals, veterinary drugs, or related products that have not been approved or registered with Nigeria’s National Agency for Food & Drug Administration and Control (NAFDAC) or any other relevant regulatory authority.
  • Products banned, restricted, or unregistered by NAFDAC or other government agencies.
  • Any items that do not meet legal quality, safety, or labeling requirements.

Misleading Health Claims

  • Products advertised or labeled as a treatment, prevention, or cure for diseases or medical conditions in violation of Nigerian law.

Endangered Wildlife and Protected Species

  • Trade in trophies or wildlife specimens—including ivory, pangolin parts, and other protected species—is strictly prohibited under applicable environmental laws.

If you come across any ads that promote prohibited items or services, please report them immediately through the platform’s reporting feature. Your vigilance helps maintain a safe and compliant marketplace for all users.

Indemnification

You agree to fully indemnify, defend, and hold harmless the Administrator, along with its affiliates, subsidiaries, successors, related entities, licensors, service providers, partners, and each of their respective officers, directors, employees, agents, and representatives, from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising from or related to:

  • Your access to or use of the Platform;
  • Any content, information, or materials you upload, post, share, or otherwise transmit through the Platform (“User Content”);
  • Your breach of any representation, warranty, agreement, or obligation set forth in these Terms;
  • Your violation of any applicable law, regulation, rule, guideline, or industry standard;
  • Any transaction or interaction you enter into via the Platform, including any breach of terms associated with such transaction.

The Administrator reserves the right—at your expense—to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with the Administrator’s defense of any claim.

Limitation of Liability

To the fullest extent permitted by applicable law, the Administrator and its affiliates shall not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your use of—or inability to use—the Service, any content on the Platform, or any Third-Party Ads, even if we have been advised of the possibility of such damages.

You acknowledge and agree that your access to and use of the Service and any Third-Party Ads is entirely at your own discretion and risk. You are solely responsible for any damage to your devices, software, systems, or data that may result from such use.

Regardless of any contrary provision in these Terms, you agree that the total cumulative liability of the Administrator to you for any and all claims arising out of or related to your use of the Service or the content of any announcement shall not exceed the greater of:

  • the total amount you have paid to us, if any, during the six (6) months preceding the event giving rise to the claim; or
  • ten thousand Nigerian Naira (NGN 10,000).

User Content and Intellectual Property

By registering on the Platform and submitting any data, including text, images, videos, or other materials (collectively, "User Content"), you retain all ownership and intellectual property rights to your content. The Administrator does not claim ownership over your registration information or any User Content you upload or publish on the Platform.

However, by using the Service, you grant the Administrator a non-exclusive, worldwide, royalty-free, transferable, perpetual, and irrevocable license to use, copy, modify, adapt, store, publish, display, perform publicly, distribute, and otherwise make your User Content available in connection with the operation and promotion of the Platform. This includes, but is not limited to, displaying your content on affiliated websites and using it for marketing or advertising purposes.

You represent and warrant that all content you submit complies with applicable laws and does not infringe on the intellectual property or legal rights of any third party. You also confirm that your use of the Service does not breach any contract or legal obligation to others.

Platform Content and Intellectual Property

Except for User Content, all materials on the Platform—such as text, images, graphics, software, scripts, music, videos, and other content (“Materials”)—and all trademarks, service marks, and logos (“Marks”) are the property of the Administrator or its licensors and are protected under intellectual property laws. You may not use, reproduce, modify, or distribute these Materials or Marks without prior written permission from the Administrator.

Copyright and Intellectual Property Complaints

If you are the rightful owner of intellectual property—or are authorized to act on behalf of one—and believe that any content on the Platform infringes your rights, you may submit a formal notification requesting its removal.

To file a valid claim, your notice must include the following:

  • Signature: A physical or electronic signature of the person authorized to act on behalf of the rights holder.
  • Description of Infringed Works: A list of intellectual property items you believe have been infringed.
  • Identification of Infringing Content: The exact URLs or locations on the Platform where the allegedly infringing material appears.
  • Contact Information: Your full name, address, phone number, and email address.
  • Good Faith Statement: A signed declaration that you have a good faith belief the use of the content is unauthorized.
  • Liability Waiver: A signed statement confirming that you will indemnify and hold the Administrator harmless from third-party claims related to the removal of the material.
  • Accuracy Statement: A signed statement affirming the accuracy of the information provided, made under penalty of perjury, and confirming that you are authorized to act on behalf of the rights holder.
  • Legal Reference: The specific legal provisions or intellectual property laws you believe have been violated.
  • Territorial Scope: The country or jurisdiction where you believe the infringement has occurred.
  • Supporting Documentation: Copies of documents proving your ownership of the intellectual property rights and evidence of your authority to act on behalf of the rights holder.

Please ensure your request is complete and accurate. Incomplete claims may not be processed.

Governing Law and Dispute Resolution

These Terms shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria.

Any dispute, controversy, or claim arising out of or relating to these Terms—including issues concerning their existence, validity, interpretation, performance, breach, or termination—shall be referred to and finally settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.

The arbitration shall be conducted by a sole arbitrator. The seat and venue of the arbitration shall be the Federal Capital Territory, Abuja, Nigeria. The proceedings shall be conducted in the English language.

Miscellaneous

Unless expressly stated otherwise, if any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

We reserve the right to assign or transfer all or any portion of our rights and obligations under these Terms to any third party, including by way of merger, acquisition, restructuring, or novation. By accepting these Terms, you consent to any such assignment or transfer.

Our failure to enforce any part of these Terms at any time shall not be considered a waiver of our right to enforce them in the future, whether for the same or a different breach.

We shall not be held liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, government actions, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, or interruptions in internet or utility services
